Clean Harbors, Inc. (“Clean Harbors”) (NYSE: CLH) announced today that
it is commencing a private placement of $600 million of Senior Notes due
2020 (the “Notes”). Clean Harbors intends to use the net proceeds of the
offering to purchase any and all of its outstanding 7.625% Senior
Secured Notes due 2016, which are accepted for purchase in its
concurrent tender offer and consent solicitation for such notes. Clean
Harbors intends to use any remaining net proceeds from the offering for
general corporate purposes.
The Notes will be offered in the United States to qualified
institutional buyers pursuant to Rule 144A under the Securities Act of
1933, as amended (the “Securities Act”), and outside the United States
pursuant to Regulation S under the Securities Act. This press release
